IMPORTANT: By using Intellectual Clothing you agree to these Terms in their entirety. If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and Intellectual Clothing Ltd.
Welcome to Intellectual Clothing (“Platform”, “we”, “us”, “our”), a fashion and clothing marketplace operated by Intellectual Clothing Ltd, a company registered in the Republic of Uganda. By accessing or using our Platform — including browsing, creating an account, purchasing, selling, or delivering — you agree to be bound by these Terms & Conditions, our Privacy Policy, and any supplementary agreements (Vendor Agreement, Rider Agreement) applicable to your role.
You must be at least 18 years old to create an account. By registering you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into contracts; (c) you are not barred from using the Platform under any applicable law; (d) all information you provide is accurate, current, and complete.
One person may hold only one account per role. Creating duplicate accounts to circumvent suspension or exploit promotions will result in permanent ban and forfeiture of any pending balances.
You are solely responsible for maintaining the confidentiality of your login credentials (password, OTP, session tokens). You must immediately notify us of any unauthorised access to your account. We are not liable for any loss arising from your failure to safeguard your credentials. We reserve the right to implement two-factor authentication at our discretion.
Intellectual Clothing is a marketplace platform, not a retailer. We facilitate transactions between Customers and Vendors. We do not own, manufacture, or directly sell the products listed on the Platform. Each Vendor is an independent business responsible for the quality, accuracy, and legality of their products. Our role is limited to: hosting listings, processing payments, coordinating delivery, and providing customer support.
When you place an Order, you make an offer to purchase from the Vendor. The contract of sale is formed between you and the Vendor when the Vendor accepts the order (indicated by a status change to “confirmed”). We act as the Vendor's agent solely for the purpose of collecting payment. We reserve the right to cancel any Order if:
All prices displayed are in UGX and include VAT where applicable. Delivery fees are calculated based on delivery zone and are shown at checkout before payment. We reserve the right to correct pricing errors — if you have already paid, a full refund will be issued. Promotional codes are single-use unless stated otherwise, non-transferable, and may be revoked at any time.
We accept MTN Mobile Money, Airtel Money, Visa/Mastercard (via Flutterwave), and Cash on Delivery (COD) where available. All electronic payments are held in escrow until delivery is confirmed by the Customer or auto-released after 48 hours post-delivery. COD payments are subject to additional verification and order value limits.
We never store your Mobile Money PIN, card number, or CVV. Payment processing is handled by PCI-DSS-compliant third parties (Flutterwave). Transaction references are stored for reconciliation only.
If a payment fails or is reversed (chargebacks, insufficient funds), the Order is automatically cancelled. Repeated failed payments or chargebacks may result in account restriction.
Delivery is coordinated by Intellectual Clothing through our independent Rider network. Estimated delivery times are indicative and not guaranteed. We are not liable for delays caused by: incorrect addresses, inaccessible locations, weather, traffic, civil unrest, or force majeure events. A maximum of two delivery attempts will be made. Uncollected orders are returned to the collection hub and a re-delivery fee may apply.
You may cancel an Order free of charge while it is still in “pending” status (before Vendor acceptance). Once a Vendor has accepted or started preparing, cancellation is at the Vendor's discretion.
You may request a return within 7 days of confirmed delivery. Items must be: unworn, unwashed, with original tags attached, and in original packaging. Custom-made or tailored items are not eligible for return unless defective. The cost of return shipping is borne by the Customer unless the item is faulty or incorrect.
Approved refunds are processed to the original payment method within 5–7 business days. Mobile Money refunds are typically instant; card refunds may take up to 14 business days depending on your bank.
Vendors must: (a) list only genuine, legal products; (b) accurately describe items including material, size, and condition; (c) fulfil accepted orders within the agreed SLA; (d) maintain product stock accuracy; (e) comply with all applicable Ugandan laws and regulations including consumer protection laws. Failure to comply may result in commission forfeiture, suspension, or permanent removal from the Platform.
Riders must: (a) maintain a valid Ugandan driving permit for their vehicle type; (b) keep GPS location sharing enabled during active deliveries; (c) handle packages with care; (d) not open, tamper with, or consume ordered items; (e) deliver to the correct address and person; (f) maintain professional conduct. Riders are independent contractors, not employees of Intellectual Clothing.
You must not:
By submitting Content (reviews, photos, messages) to the Platform you grant us a worldwide, royalty-free, perpetual, irrevocable licence to use, display, reproduce, and distribute that Content for Platform operations and marketing. You represent that you own or have rights to any Content you submit. We may remove Content that violates these Terms without notice. We are not responsible for user-generated Content and do not endorse any opinions expressed therein.
The Intellectual Clothing name, logo, branding, platform code, design, and all proprietary technology are the exclusive property of Intellectual Clothing Ltd. You may not copy, modify, distribute, or create derivative works without our written permission. Vendors retain ownership of their product images and descriptions but grant us the licence described in Section 13.
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) products listed by Vendors are accurate, safe, or of merchantable quality; (c) delivery times will be met; (d) results obtained from using the Platform will be accurate or reliable.
TO THE MAXIMUM EXTENT PERMITTED BY UGANDAN LAW:
You agree to indemnify, defend, and hold harmless Intellectual Clothing Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any Content you submit; (e) any dispute between you and another user.
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, civil unrest, power failures, internet outages, acts of terrorism, strikes, or supply chain disruptions.
We may immediately suspend or terminate your account without prior notice if: you breach these Terms; we suspect fraud or illegal activity; you fail identity verification; a court order requires it; or your conduct poses risk to other users or the Platform. Upon termination: (a) your right to access the Platform ceases; (b) pending orders may be cancelled; (c) any outstanding Vendor/Rider balances will be settled minus any damages owed to us; (d) data retention follows our Privacy Policy.

If internal resolution fails, both parties agree to attempt mediation through the Centre for Arbitration and Dispute Resolution (CADER) in Kampala before pursuing litigation.
If mediation fails, disputes are subject to the exclusive jurisdiction of the courts of the Republic of Uganda, sitting in Kampala.
You agree that any dispute resolution will be conducted on an individual basis and not as a class action or collective proceeding.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy, Vendor Agreement (for Vendors), and Rider Agreement (for Riders), constitute the entire agreement between you and Intellectual Clothing Ltd. No prior or contemporaneous communications, whether oral or written, shall be deemed to form part of this agreement unless expressly incorporated.
These Terms are governed by and construed in accordance with the laws of the Republic of Uganda, including the Electronic Transactions Act 2011, the Data Protection and Privacy Act 2019, the Consumer Protection Guidelines of the Uganda Communications Commission, and the Sale of Goods Act (Cap 82).
We may update these Terms at any time. Material changes will be notified via email and/or in-app notification at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance. If you disagree with the changes, you may close your account before the effective date.
